We are currently recruiting a: M&A Financial Advisor
Under the supervision of the Head of Acquisitions Business Development Department (A&BD), the Merger & Acquisitions Financial Advisor (M&A Financial Advisor) will lead acquisitions and divestment projects (or similar type of transactions) for the Nestlé Group and will be strongly involved in all key steps of a transaction.
 
 
 
Responsibilities:
·         Work in close cooperation with the strategic business units and operational divisions/markets to review the potential strategic options and identify potential acquisition targets or businesses to be divested.
·         Work with third parties (eg investment banks) to share Group focus areas and work on mapping exercises to identify potential targets. Subsequently liaise closely with banks during the transaction process.
·         Prepare with the relevant departments/businesses involved information memorandums and data-room documentation as well as business plans and financial modelling for valuation purposes.
·         Lead and coordinate due-diligence teams composed of internal Nestlé specialists as well as external legal & financial advisors.
·         Manage the internal approval process by preparing the final acquisition documentation (notes and/or presentation) including final recommendation for top-management review and approval (describing both the strategic and financial rational of the transactions as well as the key risks identified).
·         Take an active role (together with our in-house M&A legal team) in final contract negotiations.
·         Provide relevant experience and advice particularly in transactions involving venture capital firms.  These transactions could include acquisitions, investments, or licensing of technology.
·         As a priority, this position will focus on healthcare transactions in support of the Nestlé Health Science (NHSc) unit.
 
Profile required:
·         Strong background of managing M&A or Business Development transactions, preferably end-to-end with experience of deal origination, execution and negotiation of buy-side, sell-side and other complex transactions.
·         Previous experience with investment banks, corporate M&A teams or major consulting firms.
·         Strong experience in transactions with venture capital funds, and will ideally have experience in with healthcare transactions.
·         Strong academic record (degree in business administration, economics or engineering preferably with a MBA).
·         Very good analytical skills and ability to summarize complex issues in a logical and straightforward way.
·         Well grounded in the financial valuation theory.
·         Excellent communication and presentation skills which allow facilitating interaction and supporting the decision making process up to the highest level of the organization.
·         Strong organizational capabilities, highly results oriented and who possess the drive to project manage transactions to a successful conclusion.

·         Ability to work under pressure and deliver the expected results within the set deadlines.
·         Fluency in English is essential. Second language is a strong plus.
