Description JOB OVERVIEW


Member of the legal department team who provides support to the international division of the company. Responsibilities include preparation of legal documents and contracts; development of processes and procedures for effective tracking and management of franchisee information; and analysis of franchise applications, background checks, existing contracts and store information. The position requires excellent communication skills, a proactive approach to problem solving, and a high degree of organizational capability.

ESSENTIAL FUNCTIONS:
•Disseminate Franchise Disclosure Documents (FDDs) and ensure compliance with applicable disclosure laws. Create CD-ROM copies of the FDD using Adobe Acrobat software. Maintain spreadsheets tracking all FDD activity using Microsoft Excel software. Establish and maintain franchisee files.
•Assist in the drafting and preparation of international FDDs throughout the year. Establish and maintain FDD files.
•Originate all letters of intent, franchise operating agreements, Multiple Unit Development agreements, test agreements, and auxiliary legal documents. Track all projects and administer the process through execution of the documents. Establish and maintain franchisee files.
•Communicate legal requirements to international team, franchisee prospects (and their attorneys), via telephone, fax, e-mail and correspondence, to ensure all contracts and legal paperwork are in compliance with applicable laws as well as company policies.
•Draft correspondence and legal documents to address franchisee’s obligations under the franchise documents (e.g., contract addenda, notices of default, etc.).
•Input and audit data in the franchise database and reconcile discrepancies or inaccuracies.
•Work with attorneys, franchisee prospects, internal staff and outside counsel to revise documents (including the Letter of Intent and franchise agreements) during the negotiation process.
•Manage the execution process and follow up with local registration requirements as necessary.
•Maintain country summary database.
•Work on cross-functional teams to carry over best practices from U.S. processes and procedures:
oNondisclosure agreements (sign compliance)
oVendor agreements
oConcept Support Services (“CSS”) – POSI (electronic point-of-sale)
oTraining documents

•Revise international documents as appropriate to account for local language and trademark specifics.
•Administer and maintain FCPA training and compliance tracking.
•Develop and manage processes for tracking store openings and closings. Suggest proactive ways to adapt the database and documents to be more applicable to international.
•Work with Concept Support Services and Operations to provide review of all documents and programs provided in writing to international franchisees.
•Track international development schedules and work with development team to draft development schedules and addenda.
•Provide assistance on departmental projects as needed

Requirements QUALIFICATIONS AND COMPETENCIES

Education/Experience:
•Bachelor’s degree required.
•Paralegal certificate required if bachelor’s degree not in Paralegal Studies.
•4 years of paralegal experience

Skills:
•Well organized with a high attention to detail and accuracy.
•Relationship building skills with the ability to create mutually beneficial relationships with both internal and external clients.
•Strong communication skills, with the ability to articulate contractual requirements and procedures to a variety of audiences.
•Excellent written and verbal communication skills.
•Proficient in Microsoft Word and Excel.
•Proficient in Microsoft Access and Adobe Acrobat software.
•Provide excellent customer service to both internal and external clients.
•Ability to work quickly under pressure and with frequent interruptions and tight deadlines.
•Ability to collaborate in a team environment.
•Ability to coordinate with other departments (primarily the International department) to complete projects on time.

JOB SPECIFICATIONS
Job Requires:

•Working on a personal computer for extended periods of time, an average of 6 hours per day.
•Ability to work occasionally on evenings and weekends, as necessary to meet project deadlines.
•Frequent (up to 4 hours per day) communication via telephone, e-mail, and facsimile.
•Ability to bend, kneel and/or extend arms over head to file paperwork in file drawers.
